Contracts Manager, Valve Division
We are looking for Contracts Manager, Valve Division to join our team in Brecksville!
In this role you will be managing the formulation of contract policies, procedures, methods, operating practices and performance standards for division/product areas and programs. You will also work complex bids that may require integrating proposals from subcontractors and other potential vendors.

Your Challenge:

Ensure that company's interests are served and protected through compliance with all company policies, applicable laws, regulatory and customer requirements while balancing corporate business objectives.

Lead and/or support complex negotiations. Understand the business case and have an appreciation of financial/analytical issues and profit and loss implications.

Advise senior management of contractual rights and obligations and provide interpretation of terms and conditions and contractual options for solutions.

Regularly interact and provide business and contractual advice, options, and solutions, with executives and/or major customers. Interactions frequently involve specific skills, such as negotiating with customers or management or attempting to influence senior level leaders regarding matters of significance to the organization.

Provide contractual inputs to bids and proposals, and reviews major proposals.
Bid and Proposal
-
Review initial contract terms and conditions at proposal stage.

Advise management of business risk and legal risk clauses, in coordination with CW legal to classify as business risk vs. legal risk.

Participate as member of contract negotiation team in partnership with Sales, as a required approver of initial bids and final negotiated contracts.

Approve final contracts for execution.

Ensure compliance with all Customer, CW and regulatory requirements, ensure that all non-compliances are highlighted and appropriately approved / resolved.

Frequently engage directly with customer and/or end user contacts and appropriately represent the Curtiss-Wright Company.
Contract Review
-
Review all contracts at proposal stage and all contract changes.

Generate a contract compliance matrix, highlighting legal and contract risks
-
Flow compliance risks and non-conformances to appropriate management personnel for rectification or acceptance.

Ensure customers are aware and concur with final contract terms and conditions, drive changes or appropriate documentation of acceptance.

Ensure that all medium and high-risk T&C’s are rectified and/or accepted and at the appropriate Delegation of Authority (DoA) level
Contract Administration

Archive all contracts in a single archive, with clear indexing for ease of retrieval.

Ensure all contract changes are reviewed and approved as above and are flowed throughout the organization for proper implementation.

Support accounting to prepare correct monthly or milestone invoices in accordance with contract terms.

Archive in a clear and organized manner all licensing for contracts as required.

Ensure compliance with all regulatory requirements. Includes but not limited to appropriate US foreign country regulations, internal standards.
Your Expertise:
-
A Bachelor's Degree in Business Administration or related field preferred.

7-10 years of related work experience in a commercial Contracts role, knowledge of international export compliance within the Industrial Process Industry and manufacturing field

Thorough knowledge of all appropriate ethical standards regarding contracting actions

Excellent interpersonal skills, including diplomacy and collaboration, and the ability to maintain strong working relationships with both internal and external customers.

Excellent negotiation skills, with a proven track record in international contracting and negotiation of complex contracts structured to meet corporate objectives.

Strong organization skills with the ability to multi-task and manage strategic, operational, and tactical responsibilities in a "roll up the sleeves" hands-on culture focused on delivering results.

Customer-focused (internal and external) and results driven.
-
A credible presence and strong ability to communicate with senior leaders.

Experience interacting and communicating effectively with members of a complex organization at multiple levels.

Excellent decision-making skills that support resolution of complex problems while minimizing risk to the company
